We are pleased to welcome Adam Cohen And Marc Chorazak Cohen and Chorazak will advise U.S. and international banks, non-bank financial institutions and fintech companies on banking regulatory matters, legislative developments, corporate governance, enforcement and compliance matters and banking services arrangements. In addition, they will advise clients on mergers and acquisitions, strategic investments (non-control and control), equity and debt offerings and other transactions.

“We are delighted to have Adam and Mark join us,” said Jeremy London, Managing Partner at Skadden. “They share a forward-thinking vision for our Financial Institutions Regulatory practice that reflects their significant experience and deep knowledge of the financial services industry. Their leadership will position our financial institution clients well to respond to the evolving regulatory landscape and global economy.”

Mr. Cohen most recently served as General Counsel of SoFi Bank, where he played a key role in managing the company’s transition from a financial technology company to a federally regulated banking organization. He was previously a partner at another international law firm, where he provided regulatory advice on numerous large and complex mergers and acquisitions and other corporate transactions. He has also held several positions in the federal government, including at the Federal Reserve, where he was a principal author of regulations governing private equity investments in banking organizations and investments by banking organizations in non-bank companies. During his tenure at the Federal Reserve, he advised on the development and implementation of prudential requirements applicable to systemically important financial institutions and led the review of a number of significant mergers and acquisitions, strategic investments and innovative activities.

Mr. Chorazak led the U.S. banking regulatory practice of another international law firm and was co-chair of its fintech initiative. He advises international and domestic banks and non-bank financial institutions on a range of transactional, regulatory and governance matters. Recognized by Rooms And Business Insider As one of the top financial services and fintech lawyers in the United States, Mr. Chorazak has advised on some of the largest bank mergers and fintech transactions of the past decade. He regularly advises clients before the Federal Reserve Board, the Office of the Comptroller of the Currency, and the Federal Deposit Insurance Corporation, as well as state banking regulators. Mr. Chorazak has held leadership positions in several professional organizations, including the American Bar Association’s Banking Law Committee.

“Adam and Mark will significantly enhance our capabilities in an increasingly complex regulatory environment for financial institutions,” said Jessica Hough, Skadden’s global regulatory practice leader. “Guiding financial institutions to positive outcomes often depends on the ability to navigate the financial regulatory regime with a deep understanding of how international, federal and state rules have historically been applied and where changes are anticipated.”

“Adam and Mark’s perspectives and skills perfectly complement the support we provide to our clients as financial technology continues to evolve and new challenges arise,” said Jeffrey Brill, co-head of Skadden’s Financial Institutions Group and Global Fintech Practice.

We recently announced that Sebastian Barling will join our Financial Institutions Regulation group as a partner in London. Mr. Barling focuses on financial regulatory advice in the UK and EU, with extensive experience advising financial institutions on complex regulatory changes. The combined addition of Messrs. Cohen, Chorazak and Barling will strengthen the firm’s ability to provide our international clients with integrated regulatory advice that reflects a transatlantic perspective.

Mr. Cohen received his J.D. from Columbia Law School and a B.A. from Duke University.

Mr. Chorazak received his J.D. from Duke University School of Law, a Master of Science from Oxford University, and a Bachelor of Arts from Syracuse University. Prior to entering private practice, he served as a law clerk to the Honorable John W. Noble of the Delaware Court of Chancery.
